In what is being hailed as a pivotal moment for the continent’s financial markets, the Dangote Petroleum Refinery and Petrochemicals (DPRP) has secured a $1 billion underwriting programme to support its planned initial public offering (IPO).
The landmark deal is structured to facilitate significant ownership of the refinery by investors from Africa and the Caribbean, marking a major step in African-led capital mobilisation.
The financing package, arranged by financial advisers Marob Strategies and Consulting DIFC Ltd and Lilium Capital Group, comprises a completed and funded $600 million private placement. Additionally, a further $400 million underwriting commitment has been secured for the proposed IPO, which will be activated subject to market conditions and regulatory approvals.
The $600 million private placement was fully underwritten and funded by Pan-African Refinery Investment SPV, a subsidiary of Lilium Capital Group. The advisers are now coordinating the distribution of the remaining underwriting participation across “Global Africa,” targeting sovereign wealth funds, governments, and institutional investors.
Chairman of Dangote Industries Limited, Aliko Dangote, described the transaction as a testament to growing confidence in the refinery’s strategic importance.
“This is an important milestone for DPRP and for African capital markets,” Dangote stated.
“The successful completion of the private placement, together with the $400 million underwriting commitment provided by Pan-African Refinery Investment SPV in support of the planned IPO, reflects confidence in the refinery’s strategic role,” he added.
He noted that the partnership has created a platform for broader participation by African and Caribbean investors in the refinery’s growth story.

Professor Benedict Okey Oramah, Chairman of Marob Strategies, emphasised that the deal demonstrates a robust appetite for African-led capital market opportunities.
“The level of interest confirms the appetite for African-led capital markets transactions that provide investors with access to transformative assets on the continent,” Oramah said, predicting the success of this transaction would pave the way for many more such deals in the future.
Simon Tiemtoré, Chairman of Lilium Capital Group, echoed this sentiment, stating the mandate aligns with the firm’s commitment to connecting world-class African opportunities with global institutional investors.
“By mobilising long-term capital for strategic assets such as the Dangote Petroleum Refinery, we are supporting industrialisation, strengthening capital markets and contributing to sustainable economic growth across the continent,” Tiemtoré said.
The Dangote refinery, a 650,000-barrel-per-day complex in Lagos, which commenced commercial operations in 2024, has transformed Nigeria’s energy landscape by ending decades of fuel import dependence.
The underwriting programme is expected to catalyze significant intra-African capital flows and contribute to a more integrated African capital market, aligning with the objectives of the African Continental Free Trade Area (AfCFTA).
While the specific timeline and pricing for the IPO remain undisclosed, the $1 billion commitment provides crucial confidence and de-risks the path to what could become one of Africa’s most consequential industrial listings.
